Terms of service and subscription agreement
Governs web, PWA, and Android access, independent directory status, zero funding guarantees, liability caps, and individual arbitration.
1. Binding agreement and eligibility
These Terms of Service ("Terms") form a binding contract between you (individually and on behalf of any business, non-profit organization, or entity you represent) and GrantsLookup Directory Services LLC ("GrantsLookup", "we", or "us"). By accessing grantslookup.com, installing our Progressive Web Application (PWA), using our Android application, or purchasing a membership, you agree to these Terms.
You must be at least 18 years old and legally able to enter binding commercial contracts. GrantsLookup is a business-to-business and organizational research tool designed for commercial enterprises and tax-exempt organizations.
2. Independent directory and free public availability notice
GrantsLookup is a privately operated research index and software service. We are not affiliated with, endorsed by, funded by, or part of the United States Federal Government, Grants.gov, the U.S. Small Business Administration (SBA), the U.S. Department of Agriculture (USDA), the State of Nevada, the Nevada Governor's Office of Economic Development (GOED), or any private corporation or charitable foundation listed in our directory.
Official notices and application forms for federal and state government grants are published free of charge directly by government agencies on public portals such as Grants.gov and state agency websites. You are never required to pay GrantsLookup in order to apply for any government grant. Our membership fees ($14.99 per month or $79.99 per year) pay solely for access to our compiled cross-sector database (combining federal, state, corporate, and foundation programs), NAICS classification filters, plain-language eligibility summaries, and bookmarking tools.
3. No guarantee of grant eligibility or funding award
GrantsLookup does not issue grants, review grant applications, influence funding committees, write proposals on your behalf, or guarantee that you or your organization will qualify for or receive any grant, loan, voucher, or tax incentive.
Grant competitions are highly selective, subject to sudden legislative rescissions or exhausted budgets, and governed solely by the independent rules of each grantor. Purchasing a paid membership unlocks full directory records and direct source links; it confers zero preference or advantage in any grantor's review process.
4. Duty to verify at the official grantor source
Grant deadlines, matching cost-share ratios, eligible NAICS sectors, geographic boundaries, and application fees change frequently without notice to third-party directories. All listings, abstracts, and member dossiers are provided strictly "AS IS" and "AS AVAILABLE" as preliminary research leads.
Before spending money, hiring consultants, committing matching capital, or preparing an application, you are solely responsible for verifying every eligibility rule, deadline timestamp, and submission requirement directly on the official grantor website linked in the dossier.
5. Free accounts, paid memberships, and acceptable use
Non-paying visitors and free account holders may browse public grant abstracts, award ranges, and jurisdiction filters. Paid members with an active Monthly ($14.99/month) or Annual ($79.99/year) subscription receive single-seat access to full eligibility dossiers and direct grantor links.
You may not share paid login credentials across multiple organizations, run automated scrapers or crawlers against our API or HTML pages, bulk-export our compiled dossiers, or republish or resell unlocked records in another directory, newsletter, or commercial product. Violation results in immediate account termination without refund.
6. Disclaimer of warranties and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRANTSLOOKUP DIRECTORY SERVICES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.
IN NO EVENT SHALL GRANTSLOOKUP DIRECTORY SERVICES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING MISSED APPLICATION DEADLINES, REJECTED GRANT PROPOSALS, LOST GRANT FUNDING, CONSULTANT OR CPA FEES, OR LOST BUSINESS PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO GRANTSLOOKUP DIRECTORY SERVICES LLC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TWENTY-FIVE U.S. DOLLARS ($25.00).
7. Indemnification
You agree to defend, indemnify, and hold harmless GrantsLookup Directory Services LLC and its officers, contractors, and agents from and against any third-party claims, liabilities, damages, regulatory penalties, and reasonable attorneys' fees arising out of (a) any grant application, certification, or representation you submit to a government agency or private grantor, (b) your breach of these Terms, or (c) your violation of any law or third-party right.
8. Mandatory pre-suit notice, binding individual arbitration, and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT OR PARTICIPATE IN A CLASS ACTION.
Informal 60-day resolution first: Before either party initiates arbitration or permitted small-claims court action, the claiming party must send a written Notice of Dispute describing the facts and requested relief to legal@grantslookup.com (or to your registered account email). If the dispute is not resolved within sixty (60) calendar days after receipt, either party may commence individual arbitration.
Binding individual arbitration: Except for individual claims qualifying for small-claims court in Clark County, Nevada or your county of residence, and claims seeking injunctive relief for intellectual property misuse or unauthorized scraping, any dispute arising from or relating to these Terms or the Service shall be resolved exclusively by final, binding individual arbitration under the Federal Arbitration Act (9 U.S.C. § 1 et seq.) administered by the American Arbitration Association (AAA) under its Commercial or Consumer Arbitration Rules, as applicable.
Class-action and jury trial waiver: YOU AND GRANTSLOOKUP DIRECTORY SERVICES LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.
30-day right to opt out of arbitration: You may opt out of this arbitration agreement within thirty (30) days after first accepting these Terms by sending a signed notice stating your full name, account email, and clear intent to opt out of arbitration to legal@grantslookup.com.
9. Governing law, severability, and modifications
These Terms are governed by the laws of the State of Nevada and applicable federal law of the United States, without regard to conflict-of-law rules. Any judicial proceeding permitted outside arbitration shall be brought exclusively in the state or federal courts located in Clark County, Nevada.
If any provision of these Terms is held unenforceable, that provision shall be enforced to the maximum permissible extent and the remaining provisions shall remain in full force. We may update these Terms prospectively by posting the revised version with an updated effective date and notifying active subscribers prior to their next renewal cycle.
